Elizabeth Luciano focuses on corporate law, and has significant experience with global custody, repurchase and securities lending matters, in particular. She has structured, negotiated and reviewed sophisticated corporate and securities transactions for major domestic and international financial institutions, and has provided such clients, including corporate institutional clients, with solutions to complex transactional problems.

She currently represents a financial broker dealer and its foreign affiliates in the administration of its securities custodial network extending into more than 40 countries. She also represents major financial institutions in establishing, structuring and documenting their agency and direct securities lending and repurchase relationships and related tri-party custodial undertakings. She counsels clients on indemnification, lending, confidentiality and corporate-action agreements with counterparties worldwide.

Prior to joining the firm, she was Senior Counsel at The Dorado Law Group, LLC, where she represented clients in the areas of global securities custody administration and securities lending and repurchase transactions, and represented major financial lending institutions in secured and unsecured credit facilities, including asset-based loans, structured financing, pledge agreements, multi–facility participation loans and secured revolving credit and term loans. She also counseled manufacturing and service companies regarding syndicated credit facilities and mergers and acquisitions transactions.

Ms. Luciano also has substantial experience in counseling corporate clients in a variety of matters, including organizational set-up, employment agreements, supply contracts and dissolution documentation.

Ms. Luciano began her career at Kelley Drye & Warren, LLP, where she focused on representing New York branches of Asia-based financial entities.
