Heather J. Haase advises public and private companies on corporate-governance matters, securities filings and general corporate law. She has also worked on SEC and class action securities-fraud litigation matters, enabling her to provide corporate clients with unique and well-informed insights and advice on securities and corporate-governance matters. Ms. Haase also represents federal equity receivers in Commodity Exchange Act receiverships, and has been instrumental in recouping assets for defrauded victims.  She currently counsels and represents individuals in matters alleging tax evasion and fraud involving offshore bank accounts.

Ms. Haase previously spent several years as a corporate attorney with international law firms Jones Day and Vinson & Elkins, LLP, where she gained substantial experience in the areas of corporate finance, mergers and acquisitions, securities offerings and ongoing public company securities disclosures.

Presentations and Publications

Ms. Haase recently co-presented a program at the 2008 Annual Meeting of the American Bar Association, Business Law Section. The program was entitled, “Corporate Housecleaning: Eliminating the Dealbreakers,” and provided guidance on preparing a corporate client for a company sale or merger, as well as on general corporate housecleaning matters.  Ms. Haase has also written or participated in researching and writing numerous securities law publications, including Professor Alan R. Palmiter’s textbook, Securities Regulation: Examples and Explanations (Aspen Publishers, Inc. 1st ed. 1998).
