Madelyn Spatt Shulman has extensive experience advising and representing corporations, limited liability companies, partnerships and their members, directors, officers and shareholders in corporate, tax and securities matters. She represents clients in transactional matters, arbitration and litigation, and before regulatory bodies.
Serving clients located in New York City and Long Island, Ms. Shulman regularly represents owners of closely-held entities in business disputes and breakup transactions. She provides securities and corporate advice to public and private entity clients. She works with regulators and lenders to restructure companies encountering economic problems or damaged by corporate malfeasance. She recently headed United States fundraising efforts for a specialized heart hospital located in Ahmedabad, India. She serves as arbitration counsel for high net-worth investors in broker-dealer disputes. And, she assists clients in obtaining intellectual-property protection, including trademark registration, internet domain protection, and represents clients in trademark disputes. Ms. Shulman particularly enjoys representing clients in diverse industries.
Ms. Shulman began her career with the international law firm of Stroock & Stroock & Lavan, where she focused on mergers and acquisitions, initial public offerings and venture financing, and representing public corporations. She also served in Stroock’s corporate-estate department, which provided guidance on entity reorganizations to some of New York’s large, well-known, family-owned businesses.
Ms. Shulman frequently lectures to professional and business groups on a wide variety of legal, business and tax topics.

Lectures and Presentations
Ms. Shulman organized, moderated and co-presented a program at the 2008 Annual Meeting of the American Bar Association, Business Law Section. The program was entitled, “Corporate Housecleaning: Eliminating the Dealbreakers,” and provided guidance on preparing a corporate client for being purchased or merged and general corporate “housecleaning” matters.
She previously co-presented “Breaking up is[n’t] Hard to Do: Business Divorce in the Closely-Held Business” at a prior Annual Meeting of the American Bar Association, Business Law Section. This presentation concerned corporate break-ups and the dissolution of business entities.
Ms. Shulman has also lectured for the Nassau County Bar Association, Nassau Academy of Law and the National Business Institute on the following topics: business acquisitions, New York State professional service entities, limited liability companies, tax issues in commercial real estate transactions, family limited partnerships and estate planning.
