Natalie A. Napierala has earned graduate degrees in both business and law. As a result, Ms. Napierala provides her clients, which range from individual employees up through midsize publicly-traded companies, with well-rounded advice incorporating both business and legal considerations.

She provides guidance to publicly-traded corporations, senior executive officers, and Boards of Directors on the fiduciary duties of directors and officers, threatened and actual litigation, and D&O insurance coverage issues. She also represents business entities, senior executives, and employees in negotiating and implementing employment and severance agreements.

Ms. Napierala provides financial institutions with guidance in a variety of legal areas, including their possible immunity under the Foreign Sovereign Immunities Act. She also guides individuals in complying with the IRS' rules concerning the disclosure of offshore bank accounts.

Ms. Napierala represents senior executive officers in high profile securities-fraud lawsuits. Her representation has included a former Sunbeam executive in an SEC investigation, an SEC enforcement action, and a class-action securities-fraud lawsuit, and a former Kmart executive in an SEC investigation, a class-action securities-fraud lawsuit, and a complex business dispute brought by Kmart's bankruptcy creditors' committee.

Ms. Napierala also acts as counsel to the receiver in several receiverships created under the Commodity Exchange Act. In this role, she winds down the receivership entities' business affairs, designs asset allocation plans, and allocates millions of dollars in restrained funds to defrauded victims.

Ms. Napierala has briefed and argued numerous motions and appeals that served as the framework for several published court opinions.

Ms. Napierala recently co-authored a White Paper on executive compensation by the Sanford C. Bernstein & Co. Student Leadership and Ethics Board (Columbia Business School). She has recently lectured at Columbia Business School on "Disclosing Foreign Bank Accounts to the IRS: A Legal Perspective."

Ms. Napierala is a member of the advisory board of A.R.T., a non-profit organization promoting the retention and dissemination of native arts in refugee communities. She is a Launch Member of the Women's Initiative, Center for Global Affairs at New York University.
